HOW A DEAL RUNS
From letter of intent to container departure.
The same four stages for every commodity, sector and territory. Skipping a stage is the most common cause of a deal stalling.
- Request & Letter of Intent: The buyer submits an LOI or RFQ carrying every compulsory detail the manufacturer needs to quote accurately: commodity specification, quantities, packing, shipment mode, certifications, Incoterm and destination, shipment schedule, payment method and instrument, and target price if available. Buyer KYC is compulsory at this stage and is a prerequisite before any quotation or proforma invoice is issued.
- Procurement: Sales & Purchase Agreement: The manufacturer or supplier issues a quotation or proforma invoice. The buyer reviews, stamps and approves it. The manufacturer then issues the Sales & Purchase Agreement (SPA), and both parties review, approve and sign it.
- Payment: Payment is always made to the manufacturer or supplier’s bank account directly. SCA-Partner does not receive payment on behalf of the manufacturer. Common instruments, agreed per SPA: TT with 30% deposit and 70% at loading; TT with 10% deposit and 90% by L/C at sight; or 100% L/C at sight. Letters of credit are always transferable and irrevocable.
- Production, Inspection & Shipment: Production begins once the agreed payment instrument is activated. Before shipment, an independent inspection company chosen by the buyer issues a quality and quantity report against the signed SPA. After approval, a loading inspection records weight, pallets, marks, quantity, container and seal numbers. Payment is issued at loading and shipment proceeds under the Incoterm in the SPA.
